Refera helps licensed real estate professionals win referral business, apply and message directly, work matched referrals, post the clients they cannot serve, record how each connection ended, and leave double blind reviews. Refera is not a brokerage, MLS, escrow service, title company, law firm, tax adviser, or payment processor. You remain responsible for your license, brokerage approval, state and local referral rules, and client obligations.
01Acceptance of These Terms
By creating an account, browsing listings, posting a referral, applying to a listing, using a deal room, making a payment or donation, or otherwise using Refera, you agree to these Terms of Service and the Privacy Policy.
If you use Refera for a brokerage, team, company, or other organization, you represent that you have authority to bind that organization and that your organization is also responsible for your use. If you do not agree to these terms, do not use the service.
02Platform Role
Refera provides software tools for real estate referral marketplace activity. The service may support listings, applications, private deal-room messaging, connection records, reviews, admin moderation, reports, and related records.
- Refera does not broker real estate, represent buyers or sellers, negotiate property terms, or provide agency services.
- Refera does not guarantee any listing, applicant, referral fee, commission, closing, payment, lead quality, license status, or legal outcome.
- Refera does not replace brokerage forms, broker approval, MLS rules, state licensing rules, local law, tax advice, or legal advice.
- Refera does not hold escrow, collect referral fees for users, or guarantee payment of referral compensation between agents or brokerages.
03Eligibility, Accounts, and Agent Information
You must be at least 18 years old and legally able to enter contracts. If you post, apply to, negotiate, accept, or work a real estate referral, you must hold all licenses, approvals, supervision, and brokerage authority required for that activity in each relevant jurisdiction.
- You are responsible for accurate account, profile, market, brokerage, license, and contact information.
- You must keep login credentials secure and promptly report suspected unauthorized access.
- You may not impersonate another person, brokerage, brand, MLS, association, or regulator.
- You may not create multiple accounts to evade moderation, license restrictions, payment obligations, or platform rules.
Refera may require additional information, restrict access, or remove an account when needed to protect users or enforce these terms.
04Referral Listings, Applications, and Workspaces
Listings and applications should describe coverage area, timing, property type, price band, referral terms, and professional qualifications. Do not include sensitive client identity, exact addresses, financial account details, or other information that should wait until the parties have brokerage approval to share it.
- Applying is free and opens a conversation with the posting user. Selection turns that conversation into a private deal room for the two agents.
- The deal room shows both agents' full contact and profile from the moment of selection.
- Referral fee percentages, flat fees, terms, expiration, tax treatment, and payment timing are between the parties and their brokerages. Refera does not generate or hold a separate referral agreement.
- Both parties are responsible for using any brokerage, association, MLS, or state-specific paperwork their own rules require outside of Refera.
Workspace records (messages, end-of-connection outcomes, reviews) are platform records for the referral workflow. They are designed to preserve the deal context, but they are not legal, brokerage, tax, MLS, association, state, province, or local regulatory advice.
05Acceptable Use and Prohibited Conduct
You agree not to misuse Refera or interfere with other users. Prohibited conduct includes:
- posting false, misleading, discriminatory, unlawful, harassing, defamatory, or abusive content;
- sharing client details without proper authority or in violation of confidentiality duties;
- attempting to bypass the platform workflow for platform-originated matches (e.g. moving a Refera-introduced deal off-platform to avoid review or close records);
- scraping, crawling, reverse engineering, overloading, probing, or attacking the service;
- uploading malware or attempting to access accounts, workspaces, data, or systems without permission;
- using the service for spam, lead resale without authority, fraud, illegal referral payments, or unlicensed real estate activity;
- using reviews, reports, or applications to retaliate, manipulate reputation, or mislead other users.
06Payments, Donations, and Beta Access
During the free beta, marketplace features are available without paid plans. Refera may later introduce paid subscriptions, platform credits, or other billing features.
- If paid features are introduced, pricing, renewal timing, and what is included will be shown in the billing flow before you are charged.
- Payments may be processed by third-party providers such as Stripe or hosted payment links. Their terms and privacy practices also apply.
- Platform credits, if ever enabled, are access credits only. They are not cash, stored value, gift cards, escrow, or referral-fee proceeds.
- Refunds, promotional credits, manual grants, or account adjustments may be handled case by case unless a specific written policy applies.
- Donations are voluntary support for the project and do not guarantee access, priority, outcomes, referrals, or refunds.
07Reviews, Reports, and Moderation
Reviews are intended to reflect real closed referral experiences. Reviews may be double-blind and hidden until both parties submit. Refera may remove, hide, or limit reviews that appear fraudulent, abusive, irrelevant, retaliatory, unlawful, or inconsistent with platform rules.
Users may report suspicious conduct, license concerns, abusive messages, or other safety issues. Refera may review messages, reports, profiles, listings, applications, deal rooms, connection records, payments, and other records as needed to operate, secure, moderate, and improve the service.
08User Content and Platform Materials
You keep ownership of content you submit, including profile details, listings, applications, messages, reports, and reviews. You grant Refera a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, process, transmit, moderate, and use that content to operate, secure, improve, and promote the service.
Refera, the interface, software, designs, workflows, names, logos, text, templates, and platform materials are owned by Refera or its licensors. You may not copy, sell, lease, sublicense, or exploit them except as allowed by these terms or written permission.
09Privacy and Security
Refera handles account, profile, listing, application, deal-room, message, outcome, review, billing, report, log, and device-related information as described in the Privacy Policy.
No internet service is perfectly secure. You are responsible for avoiding unnecessary sensitive information in listings, applications, and messages, especially before brokerage approval is in place to share it.
10Disclaimers, Limitation of Liability, and Indemnity
Refera is provided AS IS and AS AVAILABLE. To the fullest extent allowed by law, Refera disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, data accuracy, lead quality, transaction outcome, commission payment, and legal compliance.
To the fullest extent allowed by law, Refera will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for lost data, lost business, failed closings, unpaid referral fees, brokerage disputes, licensing issues, or user conduct.
You agree to indemnify and hold Refera harmless from claims, losses, liabilities, damages, costs, and expenses arising from your use of the service, your content, your referral activity, your violation of these terms, your violation of law or professional rules, or your dispute with another user, client, broker, regulator, payment provider, or third party.
11Suspension, Termination, and Changes
Refera may suspend, limit, or terminate access at any time if we believe doing so is necessary to protect users, comply with law, prevent fraud or abuse, enforce these terms, address security issues, or operate the service. You may stop using the service at any time.
We may update these terms as the product, business model, law, or operational needs change. The updated effective date will appear on this page. Continued use after changes means you accept the updated terms.
12Disputes and Governing Law
Before filing a claim, you agree to try to resolve any dispute informally by contacting Refera through the support and legal channels listed on the Legal Center. These terms are governed by the laws of the United States and the state where the platform operator is organized, without regard to conflict-of-law rules, unless mandatory law requires otherwise.
Nothing in these terms prevents either party from seeking emergency injunctive relief, reporting misconduct to regulators, cooperating with law enforcement, or exercising non-waivable statutory rights.
